Independent advice and commercial due diligence, from an investor who has sat on both sides of the table.
GHAL Consulting advises investors and boards at the moments that are hardest to reverse: commercial due diligence for foundations, investment funds, endowments, and family offices; and strategic counsel for the companies they own.
Fifteen-plus years across distressed credit, special situations, and activist investing, and six public-company boardrooms. One point of view: advise as a principal, not as an agent.
ApproachWhat the work looks like
- Commercial due diligence Independent assessment of a target's market, competitive position, unit economics, and management team, written for an investment committee that needs to make a decision, not admire a slide deck.
- Activist preparedness and defense Advice to boards and management teams facing, or likely to face, an activist. Vulnerability assessment before a 13D is filed; a realistic read on the activist's intentions, leverage, and next move once it is. Informed by years spent running campaigns from the other side.
- Transaction and strategic advisory An independent perspective for boards and investors evaluating a sale, an acquisition, an unsolicited approach, or a change in strategy. Fee-based advisory, not deal brokerage.
- Special situations Guidance for sponsors, creditors, and boards navigating stress: covenant pressure, restructuring negotiations, liability management, and the decision of whether to fight, fold, or sell. Drawn from eight years in distressed credit at Silver Point.
- Board service Independent director roles for public and private companies, with a focus on situations that require capital-markets judgment, strategic repositioning, or a credible counterparty to an activist shareholder.
BackgroundGary Hu
Gary spent more than fifteen years as an investor before founding GHAL Consulting in 2024. Most recently he served as a Portfolio Manager at Icahn Capital, a subsidiary of Icahn Enterprises, a diversified holding company engaged in a variety of businesses. Before that he spent eight years at Silver Point Capital in distressed debt and special situations, underwriting investments across the capital structure and restructuring companies through Chapter 11 and out-of-court processes. He began his career at Stockbridge Investors, the public-equity affiliate of Berkshire Partners, a leading middle-market private equity firm.
Gary has served as a non-executive director of six public companies, four of them Fortune 500. All were companies navigating transformative M&A, radical technological or market shifts, or wholesale strategic repositioning. He has served on four public-company audit committees and has been designated an Audit Committee Financial Expert; he has also served on three M&A and transactions committees and on multiple compensation and nominating & governance committees.
Gary founded GHAL Consulting to do the part of the job he found most useful: forming a view he would be willing to back with his own capital. He holds two degrees, summa cum laude, from the University of Pennsylvania, and lives in Miami with his wife and young daughter.
